These Terms of Service ("Terms") govern your access to and use of agentcoreai.co (the "Site") and any services, content, communications, or materials provided by Agent Core AI LLC ("Agent Core AI," "we," "us," or "our"). By accessing the Site, submitting a form, or engaging us for services, you agree to be bound by these Terms.

1. Age Restriction (18+)

You must be at least 18 years old and legally authorized to enter into a contract on behalf of yourself or the business you represent. Our SMS program and all services are intended for adults aged 18 and over only.

2. Description of SMS Program and Messaging Use Cases

Agent Core AI LLC operates a Mixed (Marketing + Customer Care) SMS program. Messages we send include: (a) appointment confirmations and reminders for scheduled Strategy Calls; (b) follow-ups to inbound inquiries submitted via our website contact form; (c) account and service updates for active client engagements; and (d) occasional promotional offers related to our AI infrastructure consulting services. Recipients are leads and clients who have submitted the contact/booking form at https://agentcoreai.co/apply and explicitly opted in via an unchecked SMS consent checkbox. Consent is optional and is not a condition of any service.

3. Instructions to Opt-Out ('Text STOP')

You may opt out of receiving SMS messages from Agent Core AI LLC at any time. To unsubscribe, simply reply STOP to any SMS message you receive from us. You will receive a confirmation message indicating you have been unsubscribed, and no further marketing or promotional messages will be sent to your number. To resubscribe, reply START at any time.

4. Disclosures for Message and Data Rates

Message and data rates may apply when you send or receive SMS messages from Agent Core AI LLC. The specific cost depends on your mobile carrier and your plan with that carrier. Agent Core AI LLC does not charge a fee for SMS messages, but standard carrier rates from your wireless provider will apply. Message frequency varies; you may receive up to 10 messages per month based on your active inquiry or engagement.

5. Carrier Liability Disclaimer

Mobile carriers (including but not limited to T-Mobile, AT&T, Verizon, US Cellular, Sprint, Boost, MetroPCS, and Cricket) are not liable for delayed or undelivered SMS messages from Agent Core AI LLC. We do not guarantee message delivery or timing, as both are dependent on carrier networks beyond our control. Agent Core AI LLC is not responsible for any losses, damages, or other consequences arising from delayed, undelivered, or misdirected messages caused by carrier or network issues.

Agent Core AI provides AI infrastructure consulting and build services, including but not limited to AI receptionists, lead follow-up systems, custom CRM builds, dashboards, and related automation work. Specific deliverables, timelines, and fees are set out in a separate written engagement agreement (the "Engagement Letter") signed by both parties.

10. Strategy Call

The 30-minute Strategy Call is a no-cost, no-card-required consultation. By submitting the Strategy Call request form, you agree that:

• All decision-makers required to authorize an engagement will attend the call.
• The call is for the purpose of discussing your business needs and Agent Core AI's potential solutions; it does not create any obligation to engage Agent Core AI or to enter into a paid agreement.
• Information shared during the call may be used by Agent Core AI to scope a proposal, subject to the confidentiality provisions below.

11. Fees and Payment

Service fees, payment schedules, and refund terms are set out in the Engagement Letter. Unless otherwise stated:

• Invoices are due upon receipt.
• Past due amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.
• You are responsible for all taxes (other than taxes on Agent Core AI's net income).

You agree not to:

• Use the Site or our services to violate any law or regulation.
• Submit false, misleading, or unauthorized information.
• Interfere with or disrupt the Site, its security features, or its underlying infrastructure.
• Use any automated means to access the Site without our prior written consent.
• Reverse engineer or attempt to extract source code from any software made available by us.

13. Intellectual Property

Agent Core AI retains all right, title, and interest in and to the Site, its content, our methodologies, frameworks, software tools, and any pre-existing or independently developed materials. Upon full payment, the client receives a non-exclusive, perpetual license to use the specific deliverables produced under an Engagement Letter for the client's internal business purposes. Specific intellectual property terms are governed by the Engagement Letter.

14. Confidentiality

Each party agrees to keep confidential any non-public business, financial, or technical information disclosed by the other party and to use such information solely for the purpose of evaluating, scoping, or performing services. This obligation survives termination of any engagement.

15. Warranties and Disclaimers

THE SITE AND OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT AS EXPRESSLY SET OUT IN AN ENGAGEMENT LETTER.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENT CORE AI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE OR OUR SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO AGENT CORE AI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL AGENT CORE AI BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

17. Indemnification

You agree to indemnify, defend, and hold harmless Agent Core AI from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your breach of these Terms, (b) your violation of any law or third-party right, or (c) information or materials you provide to us.

18. Termination

We may suspend or terminate your access to the Site or our services at any time, with or without cause or notice. Provisions intended to survive termination will survive.

19. Governing Law and Venue

These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict of laws principles. Any dispute arising under these Terms shall be brought exclusively in the state or federal courts located in Tulsa County, Oklahoma, and you consent to the personal jurisdiction of such courts.

20. Changes to These Terms

We may modify these Terms at any time. The "Last updated" date at the top reflects the most recent revision. Continued use of the Site after a change constitutes acceptance of the revised Terms.
